She has almost 30 years' professional experience working with clients from Asia Pacific such as Japan and Hong Kong, including global clientele from United States, Europe and the Middle East, namely Mitsubishi Corporation, Toyota, Mitsui & Co, Hongkong Shanghai Bank Corporation (HSBC), San Miguel (Phillipines), Goldman Sachs, GE Corporation, Citigroup, Avenue Capital Group (United States), Philip Morris International, Heidelberger AG (Switzerland), Glencore AG (Switzerland), Rabobank (Netherlands), BNP Paribas (France), Nordea Bank Abp (Finland), Deutsche Bank (Germany), Smith & Nephew (United Kingdom) and Axis Bank (UAE).
She regularly leads teams advising global institutional clients in respect of public and private company mergers and acquisitions, private equity transactions, capital markets deals (debt and equity, Pre-IPO, IPO and right issues), investments and divestiture, corporate structuring and governance (including shareholders' and joint venture arrangements) in addition to a broad range of general corporate advisory, commercial and contractual matters. She also coordinates project teams comprising lawyers, accountants, tax consultants and banks to negotiate and complete a wide variety of financing transactions from plain vanilla financing, bilateral loans to acquisition finance and project finance.
Cylvie's practice area and track record includes work in the healthcare, manufacturing and retail, infrastructure, real estate and hospitality, logistics, shipping and transportation, TMT (technology, media and telco), energy, mining and natural resources sectors, having advised multinational enterprises and foreign investors in a variety of high-profile corporate actions, financing and acquisitions, investments and internal corporate restructuring.
Among her significant credentials in M&A deals, Cylvie advised Mitsubishi Corporation on shares purchase and investment arrangement with one of the largest Indonesian convenience store chains. She also advised GE Corporation on the proposed world-wide takeover of a business unit from Abbott, a US-based international healtcare company, involving the latter's subsidiaries in Indonesia. Her expertise in strategic cross-border acquisition was further shown when she counseled Citigroup Financial Products and Citigroup Global Markets in the sale of the equity in Four Season Hotel, Jakarta, to Kingdom B.V, an entity ultimately owned by HRH Prince Alwaleed Bin Talal Bin Abdulaziz AlSaud, and advised AXIS Indonesia, an Indonesian subsidiary of the Saudi Telecom International on the telecommunication tower sale and lease transaction.
In the mining sector, Cylvie represented Glencore AG, one of the world's largest globally diversified natural resources company, in the acquisition of a copper/gold mining project at Ropang, Sumbawa, North Nusa Tenggara, which includes (i) the exercise of legal due diligence of PT Sumbawa Jutaraya (the holder of mining authorization for general survey at Ropang, Sumbawa) and PT Sumbawa Mining; (ii) drafting the cooperation and investment agreements; and (iii) assisting in the operation of the mining project and also the procurement of operating licenses, extension and renewal thereof. She also represented PT Vale Indonesia Tbk (IMCO) in relation to the project finance of USD 1.3 billion integrated nickel mining and hydro-electric power generation project in Sorowako, Central Sulawesi, including the legal due diligence exercise, preparation and closure of the transaction documents, and advised a buyer on the acquisition of PT Tambang Sungai Suwir, an iron ore mining company, from its existing shareholders, covering both the legal due diligence and transaction document preparation.
Her representative experience in financing projects include advising LaFarge S.A in project financing and debt restructuring of PT Semen Andalas Indonesia, and representing BNP Paribas, Australia and New Zealand Banking Group Limited (ANZ Bank), Standard Chartered Bank and United Overseas Bank Limited (UOB Bank) in connection with the provision of USD 75 million of secured lending to PT Pelita Samudera Shipping Tbk. She was also involved as a deal counsel on the lender side, ING Bank N.V Singapore Branch, in the extension of USD 19.9 million of secured term loan facility to PT Buana Lintas Lautan Tbk (formerly known as PT Buana Listya Tama Tbk).
