Sonia is a Partner of NARA Law and co-leads its Banking, Finance and Fintech Practice Group. With her wealth of deep knowledge and comprehensive experience in a broad range of banking and financing matters, she guides lender, borrower and corporate clients alike through the commercial and legal challenges of a deal, from plain vanilla financing to complex secured and unsecured financing transactions, such as syndicated loan and revolving credit facilities, acquisition finance, structured finance, Export Credit Agency finance and project finance. Throughout her career, she has successfully negotiated and closed numerous high profile syndicated and bilateral lending transactions for foreign and domestic clients in a variety of business sectors.
She is also well-versed in representing large international banks, private companies and State Owned Enteprises, as well as assisting in strategic deals involving the Government of the Republic of Indonesia and multilateral agencies. Her transactional works include mergers and acquisitions and joint ventures, overseeing and managing the investment structuring phase, legal due diligence, to the preparation, negotiation and execution of transaction documents. She has also been entrusted with managing legal affairs of various multifinance companies on a retainer basis and advising on doing business in emerging markets, general corporate and regulatory compliance matters in natural resources and real estate sectors, demonstrating her versatility and adaptability in handling a broad spectrum of legal issues.
Prior to joining NARA Law, Sonia worked for 11 years at HHP Law Firm, one of the largest law firms in Indonesia, a member of Baker & McKenzie International, before joining Rosetini & Partners, a corporate law firm in strategic alliance with Nishimura & Asahi, one of the largest law firms in Japan, for 5 years.
During her 16 years of career, Sonia has successfully assisted major institutional clients, not only banks as lenders, but also private companies as borrowers. She has represented, among others, Sumitomo Mitsui Banking Corporation (SMBC), the Hongkong and Shanghai Banking Corporation (HSBC) Limited and Maybank Kim Eng Securities Pte Ltd. Among one of the significant mandates is the USD 425 million financing for the acquisition of 95% equity interest in PT Agincourt Resources (an Indonesian gold mining concession holder). Sonia has also successfully assisted, among others, Tuscan Palace Limited in securing the EUR 96,800,000 loans for the acquisition of 99.92% shares in PT Griya Pancaloka (the owner of Sofitel Bali Nusa Dua Beach Resort).
In another major credentials, Sonia successfully assisted PT Rajamandala Electric Power and its sponsors in the development and financing of Rajamandala 1 x 46.6 MW run-of-the-river hydroelectric power plant, being the first major power project in Indonesia at that time to successfully raise international limited recourse project financing without the Government of Indonesia providing a business viability guarantee. The project financing structure incorporated an investment guarantee to the project lenders from the Multilateral Investment Guarantee Agency (MIGA), a member of the World Bank Group that promotes foreign direct investment into developing countries. The involvement of MIGA guarantees in this project is the first since the Asian Financial Crisis in 1997.
